Initial public offer of up to 77,896,00 equity shares of face value of Rs. 2/- each (the "Equity Shares") of Digilogic Systems Limited ("the Company" or "DSL" or "the Issuer") at price of Rs.104 per equity share (including a premium of Rs.102 per equity share) ("offer price") for cash, aggregating up to Rs.81.01 crores (the "Offer") comprising a fresh issue of up to 67,000,00 equity shares of face value of Rs. 2/- each aggregating up to Rs. 69.68 crores (the "Fresh Issue") and an offer for sale of up to 10,89,600 equity shares of face value of Rs. 2/- each aggregating up to Rs.11.33 crores (the "Offer For Sale") by Madhusudhan Varma Jetty (referred to as the "Promoter Selling Shareholder").
The offer includes 3,90,000 equity shares of face value of Rs. 2/- each, at an offer price of Rs.104 per equity share for cash, aggregating Rs. 4.06 crores will be reserved for subscription by the market maker to the offer (the "Market Maker Reservation Portion"). The offer less market maker reservation portion i.e. net offer of [*] equity shares of face value of Rs. 2/- each, at an offer price of Rs. 104 per equity share for cash, aggregating up to Rs. [*] crores is herein after referred to as the "Net Offer". The offer and net offer will constitute [*] % and [*] % respectively of the post-issue paid-up equity share capital of the company.
The company, in consultation with the book running lead manager, may consider a further issue of specified securities through a private placement, preferential issue or any other method,as may be permitted under applicable law to any person(s), for cash consideration aggregating up to Rs. 14.00 crores at the discretion, prior to the filing of the ("pre-ipo placement"). The pre-ipo placement, if undertaken, will be at a price to be decided by the company in consultation with the book running lead manager, and the pre-ipo placement will be completed prior to filing of the roc. If the pre-ipo placement is undertaken, the amount raised from the pre-ipo placement will be reduced from the fresh issue, subject to compliance with Rule 19 (2) (b) of the scrr. If the pre-ipo placement is undertaken, the company shall report to the stock exchange within twenty-four hours of such pre-ipo placement transactions (in part or in entirety).

The floor price is 10.4 times of the face value of the equity shares.
Bids can be made for a minimum of 2400 equity shares and in multiples of 1200 equity shares thereafter.
