FINANCIAL PERFORMANCE OVERVIEW

year 2025-26 has witnessed a significant decrease from Rs. 119.68 million to Rs. 13.35

during the year.
The Company's Gross Revenue on a consolidated basis for the financial

million, primarily due to lower business activity and reduced revenue generation during
the year.

WHOLLY OWNED SUBSIDIARIES
A wholly owned subsidiary in Mumbai, Maharashtra was incorporated under
the Companies Act, 2013 and rules made thereunder on March 18, 2022 under the name and
style of Nupi Infotech Limited (Nupi).
Nupi Infotech owns and operates an enterprise technology platform for
incentive management and channel intelligence. The subsidiary serves businesses that sell
through distribution networks, giving them visibility and control over the distributors,
dealers, retailers, influencers and end consumers on whom their sales depend. Over the
year, its proposition has sharpened from a broad engagement suite into a focused offering
built around this single problem.
The platform brings an enterprise's entire incentive architecture onto
one system rather than leaving it spread across disconnected schemes. It supports channel
loyalty programmes across the distribution chain, extends the same capability to
consumer-facing engagement so that brands can build direct relationships with customers
previously visible only in aggregate, and operates an integrated rewards marketplace
through which earned points are redeemed. Customisable rule engines and administrative
controls allow enterprises to shape programmes to their own trade practice while retaining
complete visibility over cost and performance. Nupi's approach is vertical-aware rather
than generic. Programmes are configured differently for fast-moving consumer goods,
building materials, electricals, pharmaceuticals, automotive and financial services,
reflecting how differently each of these industries structures its channel and rewards its
intermediaries.
Underpinning this is a customer data platform that consolidates
information from multiple touchpoints into a unified view of the channel and the consumer.
This allows enterprises to move from reactive scheme administration to predictive,
data-led decision-making identifying which partners are growing, which are at risk,
and where incentive spend is producing incremental sales.
The Company owns 90% interest in NSI Infinium Global Limited (NSI). The
financial statements of NSI are consolidated herein. NSI is a Subsidiary by virtue of
shareholding. The Statement in Form AOC-1 containing salient features of the financial
statements of Company's Subsidiaries is attached as Annexure I to the financial statements
of the Company.
BUSINESS OPERATIONS OVERVIEW
The year saw Suvidhaa consolidate its position as a technology-led
distribution platform for India's small retail ecosystem. Our assisted commerce model
continues to rest on a simple premise: the neighbourhood retailer remains the most trusted
point of access for millions of consumers, and the right technology in their hands expands
what they are able to offer.
Building on the widened product basket introduced in the previous year,
our focus during this period shifted from breadth to depth improving the quality of
each transaction rather than simply adding categories. Financial services, including
insurance, mutual funds, bill payments and travel, continue to anchor retailer earnings,
while consumer product categories have matured into a meaningful second revenue stream for
our partners.
Retailer engagement remained a central theme. The loyalty and
engagement capabilities embedded into the platform have moved from pilot to routine use,
allowing retailers to run their own repeat-purchase initiatives rather than depending on
centrally administered schemes. We view this shift, from platform-led to retailer-led
engagement as an important step in making the model self-sustaining.
Technology investment during the year was directed at intelligence
rather than infrastructure. Work on recommendation quality, retailer-level insight and
transaction reliability has improved conversion at the counter and reduced the effort
required of the retailer. Our omni-channel presence continues to deepen in Tier-II and
Tier-III markets, where physical assistance and digital capability together do what
neither achieves alone.
Looking ahead, the Company remains focused on strengthening retailer
economics, extending the platform's intelligence layer, and building durable value for the
ecosystem it serves.
